Article I - Name
The name of this Association shall be The Town of Moira Historical Association.
Article II - Purpose
The purposes of this Association are as follows:
*To collect and preserve the cultural and historic artifacts pertaining
to the history of the town of Moira.
*To promote a greater understanding and civic pride through the
dissemination of information about the history and heritage of the
town of Moira.
Article III - Membership
Any person interested in the purposes of the Association may become a member of the Association upon payment of dues.
Article IV - Officers
Section I
The officers shall be a Chairperson, Vice Chairperson, Recording Secretary, Corresponding Secretary, and Treasurer elected by the Board of Directors from the present Board; each officer is elected for a one year period but may be reelected to serve in the same capacity. Officers are elected at the January meeting or at the first meeting of the new year and take office the following day.
Section II Duties of the Officers
*The Chairperson will preside over meetings of the general membership and the Board of Directors, will be responsible for coordinating the activities of the Association as recommended by the Board and the Association, will appoint committee chairs, and, should the need arrive, nominate from the general membership a candidate(s) to fill a Board Director's term.
*The Vice Chairperson shall act in the absence of the Chairperson.
*The Recording Secretary shall keep the minutes of the Association and of the Board of Directors.
*The Corresponding Secretary shall conduct other correspondence as requested.
*The Treasurer shall be responsible for the safekeeping of Association funds, for maintaining adequate financial records, for depositing dues and other moneys, and for paying bills as approved by the board.
Article V - Board of Directors
Section I
The Board of Directors will consist of twelve members of the Association. After the Association has been active for three years, each at-large Director will serve a three-year term and will be elected by the general membership; ballots will be placed in the fall newsletter. Officers will be elected from this Board and will be duly announced to the membership in the Spring newsletter.
Section II Responsibilities
*A Board of Director member may be excused from three meetings only by contacting the Chairperson prior to the monthly meeting. If more than three absences occur per year, the Director may be asked to vacate the position.
*The Board of Directors shall be responsible for making and implementing policies of the Association but will be amenable to suggestions made by the general membership.
Article VI - Meetings
Meetings are to be held at The Town Hall on the last Thursday of each month at 7 p.m. unless otherwise noted in The Malone Telegram. Special meetings may be convened as the Board of Directors determines.
Article VII - Amendments
Amendments to the Constitution and by-laws may be proposed by any member of the Association. This constitution may be amended at any regular meeting by a majority vote of those Board members present provided all members are given the opportunity to be heard and one month notice has been given regarding the proposed change. All proposed amendments shall be submitted in writing.
By-Law I: Membership and Dues
*Any person interested in the history of Moira who applies for membership
and who tenders the necessary dues shall thereby become a member
*Annual dues
for individual members shall be $10.00. Dues for Lifetime
membership shall be $100.00.
*Dues will be collected from January 1 for the
new year; the membership year expires December 31.
By-Law II: Meetings
*All meetings will be held on the fourth Thursday of the month at the Town
Hall at 6:30 p.m. unless otherwise noted in the Malone Telegram
* A majority of
those Board of Directors present at a meeting shall be regarded as a quorum
and may conduct business regardless of the number of board members present.
By-Law III- Election
All candidates for the Board of Directors must be voted upon by the general membership. Candidates must be a member in good standing of the Association for at least one year and must submit in writing to the chairperson of the Association their intent to be a candidate. A candidate may be appointed by the Board to fill a vacated position. Announcement of all candidates and ballots are included in the fall newsletter and sent to all members of the Association to be returned and counted.
By-Law IV-Dissolution
In the event of dissolution of the Town of Moira Historical Association, the Board of Directors must make every effort to return the collected items to its donor or family members. If this is not possible, items will be donated to the Franklin County House of History or a nearby museum located in Franklin County.
